PART I: TERMS AND CONDITIONS
These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "Merchant", "User"), and FastX Express Ltd ("FastX", "we", "us", or "our"), concerning your access to and use of the website https://fastx.inqilab.top, the FastX merchant panel, mobile applications, and any other media form, media channel, or mobile website related, linked, or otherwise connected thereto (collectively, the "Platform").
By accessing or using our Platform, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND YOU MUST DISCONTINUE USE IMMEDIATELY.
1. Definitions and Interpretation
- "Service" or "Services": Refers to the comprehensive logistics solutions provided by FastX, including but not limited to parcel pick-up, sorting, inland transportation, last-mile delivery, Cash on Delivery (COD) collection, return management, and tracking facilities.
- "Merchant" or "Service Requester": Any individual, corporate body, or registered business entity that creates an account on the Platform to utilize FastX delivery services.
- "Customer" or "Recipient": The end-user or intended recipient designated by the Merchant to receive the shipped parcel.
- "Delivery Agent": Personnel, employees, independent contractors, or third-party logistics partners authorized by FastX to fulfill pick-up and delivery mandates.
- "COD (Cash on Delivery)": A payment model where the Delivery Agent collects physical cash or digital payments from the Recipient upon successful handover of the parcel.
2. Account Registration and Security
- Legal Capacity: By creating an account, you represent and warrant that you are at least eighteen (18) years of age and possess the legal authority to enter into binding contractual commitments under the laws of Bangladesh.
- Information Accuracy: You agree to provide true, accurate, current, and complete registration data. You must maintain and promptly update this data to keep it accurate and complete.
- Credential Protection: You are solely responsible for safeguarding your account credentials (usernames and passwords). FastX shall not be held liable for any unauthorized access, financial losses, or data breaches resulting from your failure to maintain account confidentiality.
3. Scope of Services and Order Placement
- Service Requests: Merchants may initiate dispatch orders via the Merchant Panel or API integration. Each request must explicitly detail the Recipient's full name, precise delivery address, active contact numbers, parcel weight, dimensions, and declared monetary value.
- Right of Refusal: FastX reserves an unconditional right to reject, suspend, or cancel any Service Request at its sole discretion, without prior liability, if the parcel violates safety guidelines or exceeds operational capacity.
- Delivery Timelines: Any delivery schedules or ETAs (Estimated Times of Arrival) provided on the Platform are non-binding estimates. FastX is not liable for operational delays arising from traffic congestion, political disruptions, inclement weather, or regulatory interventions.
4. Prohibited and Restricted Items
FastX strictly prohibits the consignment of items that pose safety, legal, or environmental risks. Prohibited items include, but are not limited to:
- Currency notes, coins, bearer bonds, or negotiable instruments.
- Precious metals, high-value jewelry, gems, and bullion.
- Illegal narcotics, psychotropic substances, or prescription drugs without legal permits.
- Explosives, ammunition, firearms, hazardous chemicals, and flammable liquids.
- Perishable commodities, unless packed in verified specialized climate-controlled containers explicitly approved by FastX.
- Any materials deemed contraband under the Customs Act or regular statutory laws of Bangladesh.
5. Cash on Delivery (COD) & Settlement Policy
- 5.1 COD Collection Mandate: FastX offers Cash on Delivery (COD) services across authorized coverage zones. The Delivery Agent will collect the exact invoice amount specified by the Merchant in the Merchant Panel from the Recipient prior to handing over the package. Recipients are strictly prohibited from opening, unboxing, or inspecting the internal contents of any parcel before full payment is handed to the Delivery Agent.
- 5.2 COD Transaction Limits: To minimize cash transit risks and ensure operational safety, the maximum allowed invoice value for any single COD shipment is BDT 1,00,000 (One Lac Taka). Any consignment with a product value exceeding BDT 1,00,000 must be fully prepaid by the Recipient via the online gateway prior to dispatch. FastX reserves the right to automatically cancel or refuse any Service Request that exceeds this threshold.
- 5.3 Central Bank Compliance: In strict compliance with the Bangladesh Bank Payments Systems Department guidelines, FastX does not operate as a financial service provider or distribute physical cash directly to Merchants. All cash collected from delivery points is aggregated and deposited into a mandatory, secure Bank Settlement Account maintained by FastX. All subsequent merchant payouts are initiated solely through formal banking networks or regulated Mobile Financial Services (MFS).
- 5.4 Pricing and Service Charges: Dhaka Metropolitan Area forward delivery features a 0% COD service charge on the collected parcel invoice value. Inter-District/Outside Dhaka shipments are subject to a standardized 1% COD processing fee. FastX utilizes a net-deduction settlement model, where delivery, return, and processing charges are deducted from the collected amount prior to disbursement.
- 5.5 Disbursement Schedules & Integrated Partners: Digitally collected funds will be disbursed directly to the Merchant's verified corporate bank account or through our authorized digital wallet partners: bKash and Nagad. Net funds will be digitally transferred on a Next-Day Delivery Settlement schedule (within 24–48 business hours) following successful delivery verification. Operational delays from clearing holidays or gateway technical outages do not constitute a breach of service timelines.
- 5.6 Merchant Information Accuracy: The Merchant must provide verified, legal bank account routing details or registered corporate/personal wallet numbers for bKash or Nagad matching their corporate Trade License or National ID (NID). FastX explicitly disclaims any liability for financial misrouting or delayed settlements resulting from incorrect financial configurations input by the Merchant.
- 5.7 Anti-Fraud Holds: FastX reserves the right to place an immediate administrative hold on any COD disbursement if there is a pending customer dispute, suspicion of e-commerce parcel fraud, or delivery of empty/counterfeit boxes. Funds will remain escrowed until an official compliance investigation clears the transaction.
6. Limitation of Liability and Indemnification
- Liability Cap: If a parcel is lost, stolen, or physically damaged while in the custody of FastX due to proven negligence, FastX's maximum cumulative liability is strictly limited to the lesser of the actual declared value of the item or BDT 5,000 per consignment note.
- Consequential Damages: Under no legal theory shall FastX be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of business profits, goodwill, or market opportunities.
- Indemnification: You agree to protect, indemnify, and hold harmless FastX, its directors, and affiliates from any legal claims, damages, or regulatory fines resulting from your breach of these Terms or the shipping of prohibited materials.
7. Refund, Failed Deliveries, & Return to Merchant (RTM) Policy
- 7.1 Delivery Attempt Protocols: FastX will execute a maximum of three (3) delivery attempts over three (3) consecutive business days before classifying a parcel as undeliverable. During each attempt, the Delivery Agent will make a minimum of two (2) distinct communication attempts via the customer's phone line. A consignment will be automatically converted into a Return to Merchant (RTM) status if the Recipient explicitly refuses the parcel or is completely unreachable.
- 7.2 Return to Merchant (RTM) Processing: Rejections originating within the Dhaka Metropolitan Area will be returned to the Merchant's registered pickup warehouse within 3 to 5 business days. Rejections originating from outside Dhaka or remote rural zones will be returned within 7 to 10 business days.
- 7.3 RTM Billing and Reverse Logistics Fees: Original delivery fees are entirely non-refundable once a pickup is successfully completed. For RTM processing, Dhaka Intra-City returns are charged at a flat rate of 50% of the original forward delivery fee. Outside Dhaka/Inter-District returns are charged at 100% of the forward delivery fee. All accrued costs are automatically deducted from the Merchant's outstanding COD balance during standard payment clearing cycles.
- 7.4 Damage Claims & Discrepancies: FastX operates strictly under an all-or-nothing delivery model; Delivery Agents will not perform partial deliveries. The Merchant must physically inspect returned RTM packages and log any claims regarding product damage or tampering within 24 hours of RTM handover, supported by unboxing video footage.
